الملخص

تناول هذا البحث المسؤولية الجنائية للمسير في الشركات التجارية، من خلال بيان مفهوم المسير ومركزه القانوني وأنواعه، باعتباره الشخص المكلف بإدارة الشركة وتمثيلها، كما يبرز الشروط القانونية اللازمة لقيام مسؤوليته الجنائية، وفي مقدمتها ثبوت صفة التسيير وارتكاب فعل يجرمه القانون مع توافر أركان الجريمة، وتعرض الدراسة أبرز الجرائم المرتبطة بالتسيير، مثل إساءة استعمال أموال الشركة، وتقديم بيانات مالية غير صحيحة، والتزوير في الوثائق التجارية، واستغلال النفوذ وتعارض المصالح، مع بيان العقوبات المقررة لها، واعتمدت الدراسة المنهج الوصفي التحليلي والمنهج المقارن لتحليل النصوص القانونية ومقارنتها ببعض التشريعات المقارنة، وانتهت إلى أن المسؤولية الجنائية للمسير تمثل ضمانة أساسية لحماية الشركة والائتمان التجاري وتعزيز مبادئ الشفافية والحوكمة، مع التأكيد على ضرورة تطوير التشريع لمواكبة المستجدات الاقتصادية والرقمية.

Abstract

This research examines the criminal liability of managers in commercial companies by defining the concept of a manager, their legal status, and their various types, considering them as the individuals entrusted with managing and representing the company. It also highlights the legal conditions necessary for establishing their criminal liability, primarily the proven managerial role and the commission of an act criminalized by law, along with the fulfillment of the elements of the crime. The study presents the most prominent crimes related to management, such as misuse of company funds, submission of false financial statements, forgery of commercial documents, abuse of power, and conflict of interest, along with the prescribed penalties. The study employs a descriptive-analytical approach and a comparative methodology to analyze legal texts and compare them with relevant legislation. It concludes that the criminal liability of managers represents a fundamental guarantee for protecting the company and commercial credit, and for promoting the principles of transparency and governance, while emphasizing the need to develop legislation to keep pace with economic and digital advancements.
