الملخص
تَهْدِفُ الدِّرَاسَةُ إِلَى بَيَانِ مَدَى مُلَاءَمَةِ تَنْظِيمِ المُشَرِّعِ الأُرْدُنِيِّ لِلشَّرْطِ الجَزَائِيِّ (التَّعْوِيضِ الِاتِّفَاقِيِّ) فِي النُّصُوصِ القَانُونِيَّةِ مِنْ خِلَالِ دِرَاسَةِ وَتَحْلِيلِ النُّصُوصِ القَانُونِيَّةِ وَالآرَاءِ الفِقْهِيَّةِ وَالقَضَائِيَّةِ، وَقَدْ بَيَّنَتْ أَهَمِّيَّتَهُ العَمَلِيَّةَ وَالقَانُونِيَّةَ فِي إِلْزَامِ المُتَعَاقِدَيْنِ بِتَنْفِيذِ الِالْتِزَامَاتِ وَفْقَ العَقْدِ، إِذْ يُعَدُّ تَقْدِيرًا مُسْبَقًا لِلتَّعْوِيضِ المُسْتَحَقِّ عِنْدَ إِخْلَالِ أَحَدِ الأَطْرَافِ بِالْتِزَامَاتِهِ، سَوَاءٌ وَرَدَ ضِمْنَ العَقْدِ أَوْ فِي اتِّفَاقٍ لَاحِقٍ. كَمَا أَشَارَتِ الدِّرَاسَةُ إِلَى أَنَّ المُشَرِّعَ الأُرْدُنِيَّ مَنَحَ المَحْكَمَةَ صَلَاحِيَّةَ تَعْدِيلِ قِيمَةِ الشَّرْطِ الجَزَائِيِّ بِنَاءً عَلَى الضَّرَرِ الفِعْلِيِّ، وَهُوَ مَا أُعْتَبَرَ خُرُوجًا عَلَى مَبْدَإِ القُوَّةِ المُلْزِمَةِ لِلْعَقْدِ وَإِرَادَةِ المُتَعَاقِدَيْنِ. وَأَوْصَتِ الدِّرَاسَةُ بِتَبَنِّي مَفْهُومٍ مُزْدَوَجٍ لِلشَّرْطِ الجَزَائِيِّ يَجْمَعُ بَيْنَ التَّعْوِيضِ وَالإِلْزَامِ، بِحَيْثُ يُعَدَّلُ فَقَطْ فِي حَالَاتِ الغِشِّ أَوِ الخَطَأِ الجَسِيمِ أَوْ تَنْفِيذِ جُزْءٍ مِنَ الِالْتِزَامِ، دُونَ المَسَاسِ بِطَبِيعَتِهِ الإِلْزَامِيَّةِ.

Abstract
The study aims to clarify the extent to which the Jordanian legislator’s regulation of the penalty clause (agreed compensation) is suitable within legal provisions through the study and analysis of legal texts, as well as jurisprudential and judicial opinions. The study demonstrated its practical and legal importance in obligating contracting parties to fulfill their commitments according to the contract, as it serves as a predetermined assessment of compensation due in the event that one party breaches its obligations, whether it is included within the contract itself or established in a subsequent agreement. The study also indicated that the Jordanian legislator granted courts the authority to amend the value of the penalty clause based on the actual damage incurred, which has been considered a departure from the principle of the binding force of contracts and the parties’ contractual autonomy. The study recommended adopting a dual concept of the penalty clause that combines both compensation and obligation, whereby it should only be modified in cases of fraud, gross negligence, or partial performance of the obligation, without affecting its binding nature
