الملخص
تثير العلاقة بين الضمانات العينية ومساطر صعوبات المقاولة إشكالات قانونية وعملية دقيقة، خاصة فيما يتعلق بمدى فعالية الضمانات العينية المقيدة بعد صدور حكم فتح المسطرة. وتهدف هذه الدراسة إلى بحث أثر تقييد الضمانات العينية على قابليتها للاحتجاج، وحدود الحماية التي يوفرها التقييد للدائنين أصحاب الضمانات العينية في مواجهة مساطر صعوبات المقاولة، كما تروم الدراسة الوقوف على مدى اختلاف فعالية الضمانات العينية التقليدية عن الضمانات الحديثة القائمة على شرط الاحتفاظ بالملكية، ومدى قدرة المشرع المغربي على توفير التوازن بين حماية الدائنين وضمان استمرارية المقاولة. واعتمدت الدراسة على تحليل المقتضيات القانونية والاجتهادات القضائية، مع الاستئناس ببعض التشريعات المقارنة، ولا سيما القانون الفرنسي والمصري وقانون الأونسيترال النموذجي بشأن المعاملات المضمونة، وذلك بهدف استجلاء حدود الحماية المقررة للضمانات العينية واقتراح سبل تعزيز الأمن القانوني واستقرار المعاملات الائتمانية.

Abstract
The relationship between security interests and insolvency proceedings raises complex legal and practical issues, particularly with regard to the effectiveness of registered security interests following the issuance of a judgment opening insolvency proceedings. This study examines the impact of the registration of security interests on their enforceability and the extent of protection afforded by registration to secured creditors in the context of insolvency proceedings. It also seeks to determine whether the effectiveness of traditional security interests differs from that of security arrangements based on retention of title, and to assess the extent to which Moroccan legislation succeeds in striking a balance between protecting creditors and ensuring the continuity of the enterprise. The study is based on an analysis of legal provisions and judicial decisions, with reference to certain comparative legal systems, particularly French and Egyptian law and the UNCITRAL Model Law on Secured Transactions, with a view to determining the scope of protection afforded to security interests and proposing means of strengthening legal certainty and the stability of credit transactions.
