Abstract

In recent years, the Kingdom of Saudi Arabia has witnessed significant legislative transformations within the framework of Saudi Vision 2030. These transformations have aimed to achieve sustainable development, build a sustainable economy, and promote digital transformation in judicial, commercial, and investment-related procedures and services. This transformation has contributed to strengthening the governance of the real estate investment sector and establishing an integrated real estate ecosystem that encourages investors to enter the real estate investment market, These developments have been reflected in the establishment of a sustainable legal framework for the real estate sector that integrates digital transformation and investment with the regulatory, developmental, and supervisory roles of the authorities concerned with real estate affairs. They have also been accompanied by the enactment of several real estate laws governing both civil and commercial transactions. Such legislation seeks to restructure the legal and regulatory framework of the real estate sector in the Kingdom of Saudi Arabia and safeguard the rights and interests of all stakeholders. Against this background, the present study, entitled “Legal Regulation of Commercial Real Estate Transactions in the Kingdom of Saudi Arabia: Towards a Sustainable Legislative Framework,” highlights the importance of the legal rules governing the real estate investment sector. It aims to identify and examine the modern legal rules applicable to commercial real estate transactions. To achieve its objectives, the study adopts a descriptive, analytical, and comparative approach through an in-depth analysis of recent real estate laws and regulations governing transactions of a commercial nature. It also examines the authorities responsible for real estate governance and the administration of real estate ownership, The study concludes that the Saudi legal system possesses several strengths, most notably a clear legislative framework that supports investment and is closely aligned with digital transformation. This framework contributes to achieving the Sustainable Development Goals, particularly Goal 11 on sustainable cities and communities and Goal 16 on peace, justice, and strong institutions. Among its principal recommendations, the study emphasizes the need to develop mechanisms of judicial oversight for commercial real estate transactions. It specifically recommends establishing specialized judicial circuits within the commercial courts to adjudicate disputes arising from such transactions, thereby ensuring that the judicial system keeps pace with legislative developments and the digital transformation of the real estate investment sector.
